When working together it is important to make
clear
our understandings such that all we do will be understood by each of us
and our
individual
responsibilities will be clearly understood. These are the terms of
our agreement.
1.
Authorization: The above-named client is employing
Wilderness Website Design, a
Christian individually owned business whose entire profit will
be used to
support Crying in the Wilderness
Ministry, located at 623 North Branch Callicoon Center Road, Callicoon
Center,
NY 12724, as an independent
contractor to develop and/or improve a World Wide
website to be installed on a web space
and a web host computer paid for independently by the client.
All charges
pertaining to “domain name” and web hosting will be paid separately by
the
client. The client hereby authorizes Wilderness Website Design
to
access an existing account, and authorizes the web hosting service to
provide Wilderness
Website Design with permission to make
modifications on the
client's web page (“write permission”), including cgi-bin
directory, and any other directories or programs which need to be
accessed for
this project. The client
also authorizes Wilderness Website Design to publicize
their completed website to Web search engines, as well as other Web
directories
and indexes after client
approval.
2. Additional education,
consultation or work
requested beyond that specified in this contract will be provided at an
hourly rate of $30.
3.
Standard Website Package of five (5) web
pages. Sites
requiring special forms, shopping cart, order forms and payment methods
are not
included in
the Standard Package. The price of the standard package for the
work performed by Wilderness Website Design as specified in
this
contract is $299
The
following elements are included in the Wilderness Website Design
Standard
Website Package.
·
E-mail/phone
consultation: Up to 2 hours
total
general Internet orientation education, marketing strategy, Web design
consultation, and helping clients learn
to use their own web page editor. Long distance
telephone charges to be billed
the client in addition to package rates quoted.
·
Words of text: Text must be prepared on a Word Processor and supplied by the client either as a printed
document,
or a file sent via e-mail or on a diskette/CD.
The addition of this text may be
subject to additional fees, especially if extensive formatting is
required. The
text provided should be in the font and style required.
Wilderness Website Design will advise the client
if
extensive formatting will be required and the work may be done either
by the
client or by Wilderness
Website Design at the hourly rate of $30.
·
Links
to other internet sites (defined by the client) up to an average of 4
per page.
·
Custom
Graphics Package. Masthead
graphic on
first page (simple graphics incorporating company logo). Top-of-page
graphic
for all other pages of the website.
Appropriate use of tables, lines, bullets,
and colored and textured background as specified by client.
·
Templates: Commercially
available templates may be used at the customer’s request. These have a
wide
range of pricing but can be obtained for $60 (for non-exclusive
use) to $2000+
(for exclusive use). These templates
will be purchased by the client and customized by Wilderness Website
Design.
·
Photos and
other misc. graphic images supplied
by client - up to an average of 2 included per page. Additional fees
may be
charged for color originals larger than
5" x 8" and/or any graphics
requiring editing.
·
Installation of website on the client's web hosting
service. Hosting service paid for by the client.
·
Minor updates
and changes to existing web
pages
will be provided by Wilderness Website Design for three (3) months,
subject to
the limits outlined below.
Additional
changes after 3 months will be billed at an hourly rate of $30
·
Site publicity to at least six major Web search engines,
such as
Google, Yahoo, AltaVista, InfoSeek, WebCrawler, Lycos, etc.
·
E-mail
response link on one web page
(contact page recommended) to any e-mail address the client designates.
E-mail
address to be encoded to minimize spam.
·
Guestbook form providing opportunity for client to accept
of reject
comments
·
Site Map for easy navigation within the website (For
sites 6
pages or larger)
·
Specialty forms - hidden
e-mail, etc. can be incorporated for
charge extra – all things are possible.
4.
Content of
the web pages will be
supplied by the
client and executed as specified by the client in the "Wilderness
Website
Planning Worksheet" dated _______________.
The Standard Website
Package includes up to five (5) web pages. In
the case that the client desires additional standard web pages
the client agrees to pay Wilderness
Website Design an additional $30 per hour for
the design and construction/customization of each additional web page.
Graphics
or photos beyond the allowed
average of 2 per web page shall be billed at an
additional $15 each. Where custom graphic work (beyond the scope of the
"Custom Graphics Package" detailed above)
is requested, it will be
billed at the hourly rate of $30
5.
Maintenance and Hourly Rate. This agreement includes minor web page
maintenance
(to be determined by Wilderness Website Design) to regular web pages
over a
three-month period, including updating links and making minor changes
to a
sentence or paragraph. It does not include removing nearly all the text
from a
page and replacing it with new text.
If
the client or an agent other than Wilderness Website Design attempts
updating
the client's pages, time to repair web pages will be assessed at the
hourly
rate
of $30 and is not included as part of the updating time. The
three-month
maintenance period commences upon the date the client signs this
contract.
6.
Changes
requested by the client beyond the above stated limits will be billed
at the
hourly rate of $30. This
rate
shall also govern additional work authorized beyond the
maximums specified
above for such services as general Internet orientation education,
marketing
consulting, web page design, editing, art,
photo, graphics services,
and helping clients learn how to use
their own web page editor.
7.
Changes to Submitted Text. Please send final text.
Time required to make substantive changes to client-submitted text
after the web pages have been constructed
will be billed at the hourly rate
$30.
8.
Web Hosting. The client understands that any web hosting
services requires a separate
contract with a web hosting service to
be paid for by the client. Note:
If
specialty forms are required the hosting site must have PHP/Mysql.
The
client agrees to select a web hosting service which allows Wilderness
Website
Design full access to the website.
If desired and approved by the client
Wilderness Website Design will register a domain name and obtain a web
hosting
service compatible with the technology
used by Wilderness Website Design. The
cost for this service will be $ 25 plus the cost of registration and
web
hosting.
9.
Additions to Standard Package

10.
Completion Date. Wilderness Website Design and the client
must work
together to complete the website in a timely manner. We agree to work
expeditiously
to complete the website no later than _________________________.
11.
If the client does not supply Wilderness
Website
Design complete text and graphics content for all web pages contracted
for within
six weeks of the date
of the signing of this contract, the
entire amount of the contract becomes due
and payable.
12.
Payment of Fees. Fees to Wilderness Website Design are due
and payable
as follows: 50% upon signing this contract, 50% when the web pages have
been
constructed according to the client's original written specifications.
If the
total amount of this contract is less than $400, the total amount shall
be paid
upon signing this
contract. If the client has not obtained space on a web
hosting service by the time the web pages are completed, the web pages
may be
delivered to the client on diskette
or attached to an e-mail message.
Advertising the pages to Web search engines and updating occur only
after the
final payment is made. All payments will be made in
US funds cash or certified
check. Exceptions may be made at the discretion of Wilderness Website
Design.
13.
Assignment of Project. Wilderness Website Design reserves the right
to
assign subcontractors to this project as needed to insure completion on
time as
well as to
provide unique services.
14.
Legal -
Wilderness Website Design does not guarantee that all of the features
contained
in these web pages or the Internet website will meet the client's
requirements
or that the operation of the web pages will be uninterrupted or
error-free. The
entire risk as to the quality and performance of the web pages and
website is
with client.
Wilderness Website Design will work diligently with the client to
address any concerns they may have. In no event will Wilderness Website
Design
be liable to the client
or a third party for damages, including lost profits,
lost savings or other incidental, consequential or special damages
which arise
from the operation of or inability to
operate these web pages or website, even
if Wilderness Website Design has been advised of the possibility of
such
damages. If any provision of this agreement shall be
unlawful, void, or for any
reason unenforceable, then that provision shall be deemed severable
from this
agreement and shall not affect the validity and enforceability of
any remaining
provisions.
15.
Copyrights and Trademarks. The client represents to Wilderness Website
Design
and unconditionally guarantees that all text, graphics, photos,
designs,
trademarks, or
other artwork furnished to Wilderness Website Design for
inclusion in web pages are owned by the client, or that the client has
permission from the rightful owner to use
these elements, and will hold
harmless, protect, and defend Wilderness Website Design and its
subcontractors
from any claim or suit arising from the use of such elements
furnished by the
client.
16.
Laws Affecting Electronic Commerce. The client agrees that the client is solely
responsible
for complying with all laws, taxes, and tariffs imposed by the
government or
authorities and will hold harmless, protect, and defend Wilderness
Website
Design and its subcontractors from any claim, suit, penalty, tax, or
tariff
arising from the client's
exercise of Internet electronic commerce.
17.
Copyright to Web pages. Copyright to the final web pages produced by
Wilderness
Website Design is owned by Wilderness Website Design. Upon final
payment of
this
contract, the client will be assigned rights to use as a website - the design, graphics, and text contained in
the finished website. Rights to photos, graphics, source code, work-up
files,
and computer programs are specifically not transferred to the client,
and
remain the property of their respective owners. Wilderness Website
Design and
its subcontractors
retain the right to display graphics and other Web design
elements as examples of their work in their respective portfolios.
18.
Payment of fees. Payments must be made promptly to Wilderness
Website
Design. Delinquent bills will be assessed a $15 charge if payment is
not
received within 5 days of
the due date. If an amount remains delinquent 30 days
after its due date, an additional 5% penalty will be added for each
month of
delinquency. Wilderness Website Design
reserves the right to remove web pages
from the Internet until final payment is made. In case collection
proves
necessary, the client agrees to pay all fees incurred.
19.
This agreement becomes effective only when
signed by Wilderness
Website Design. Regardless of the place of signing of this agreement,
the
client agrees that for purposes
of venue, this contract was entered into in
Sullivan County, NY, and any dispute will be litigated or arbitrated in
Sullivan County, NY. Please pay on time – then everyone is happy.
20.
Sole Agreement. The agreement contained in this "Wilderness
Website Design
Contract" constitutes the entire agreement between Wilderness Website
Design and the client
regarding this website. Any additional work not specified
in this contract must be authorized in writing by the client. All
prices
specified in this contract will be honored for three
(3) months after both
parties sign this contract. Continued services after that time will
require a
new agreement.
21.
Initial Payment and Refund Policy
The
total amount of this contract is $______________
This
agreement begins with an initial payment
of
$_____________. If the client halts work and applies by registered
letter for a
refund within 30 days, to the Director
of Wilderness Website Design, P.O. Box
285, Callicoon Center, NY 12724,
phone (845) 482-5864, work completed shall be billed at the hourly rate
of $30,
and deducted
from the initial payment,the
balance of which shall be returned
to the client. If, at the time of the request for refund, work has been
completed beyond the amount covered
by the initial payment, the
client shall be
liable to pay for all work completed at the hourly rate stated above.
No
portion of this initial payment will be refunded unless
written
application is
made within 30 days of signing this contract.
The

agrees to the terms of this agreement on behalf of his or her
organization or
business.
